Terms and conditions

For the provision of shipping agency services

These Terms and Conditions govern the agreement between the Agent and the Principal for the provision of Shipping Agency Services, as evidenced by this invoice.

1. In these Terms and Conditions the following terms are defined as per hereunder:

  • Agent: PSAROMPAS MARITIME AGENCY SINGLE MEMBER P.C. of Kalymnos, Greece.
  • Principal: the contracting party stated in the front page of this document, including, indicatively and without limitation, the owner and/or operator and/or manager and/or charterer and/or demise charterer and/or Master of the Vessel and/or any other party lawfully representing the Vessel’s owner, to which the Shipping Agency Services are provided.
  • Vessel: the vessel stated in the front page of this document, to which the Shipping Agency Services are provided.
  • Shipping Agency Services: the services provided by the Agent to the Principal in accordance with the Principal’s orders and instructions and among which any or all of the following may be included: activities and arrangements with the competent state, port, custom or other authorities for the issue of the necessary approvals, permissions and certificates for the vessel’s inward or outward clearance, activities and arrangements necessary for cargo loading and/or discharge and/or for passengers’ boarding and/or disembarkation, activities and arrangements for provision of bunkers and/or stores and/or spare-parts and/or repairs, services in relation to the authorities and/or the flag and/or class representatives and surveyors, services in relation to the Master and crew and any other services falling within the scope of a shipping agent’s activities.
  • Remuneration: the remuneration agreed between the Agent and the Principal and which is due and payable by the Principal to the Agent for the provision of Shipping Agency Services.
  • Costs: any disbursements incurred or to be incurred by the Agent within the scope of Shipping Agency Services, and which include, among others, port dues, taxes, fines and any other expenditure in relation to the Vessel’s call in the port, for which the Agent shall collect the necessary documentation.
2. The Agent always acts in the name and on behalf of the Principal and as the Principal’s representative and all his acts are considered to have been performed within the scope of the Principal’s orders and instructions. The Principal undertakes to indemnify and hold harmless the Agent for any loss or damage the Agent might sustain in relation to third parties’ claims which arose from or are connected to the provision of Shipping Agency Services to the Principal. 3. The Principal timely advises the Agent for the nature and kind of Shipping Agency Services that the Agent will be required to provide to the Vessel and undertakes to furnish the Agent with the necessary information and documentation. 4. The Agent advises the Vessel’s Master or the Principal for any issues which are related to the Shipping Agency Services conferred to the Agent. 5. For the provision of the Shipping Agency Services, the Principal is liable to pay the Remuneration, plus VAT and/or any other tax, if applicable, which becomes due and payable upon the issue of this invoice. 6. In case the Agent incurred any Costs, the Principal is liable for their settlement at the same time with the settlement of the Remuneration. 7. The Remuneration and Costs are payable in the bank account specified in the front page of this document. 8. In case the Principal does not settle the Remuneration and Costs as provided herein, default interest at the rate of 4% shall be additionally due for every day of delay till full settlement of any outstanding amount hereunder. The Agent is entitled to terminate the agreement and take all appropriate measures for the full satisfaction of its claim, including, among others, to retain any Vessel’s documents the Agent has in his possession pending payment. 9. The Agent shall not liable to the Principal for any loss or damage whatsoever, whether direct or indirect (including loss of profit arising from or related to detention or delay of the Vessel in the port), nor for any costs and expenses incurred by the Principal, howsoever the above arose, unless same is proved to have resulted solely from the negligence or willful misconduct of the Agent and/or its employees or representatives. The Agent’s liability, in case any of the above has been caused solely from negligence of the Agent and/or its employees or representatives, shall not exceed a total of ten (10) times of its Remuneration. 10. The agreement for the provision of Shipping Agency Services between the Agent and the Principal is subject to Greek Law and any dispute arising between the parties shall be referred to the exclusive jurisdiction of the Court of Piraeus.
